Highly-Converting Sales Page Development – Creating a sales page designed to sell a single service effectively.
1 Successful Facebook™ Ad Campaign Per Month – Driving new visitors to a website or sales page.
Any other complementary services or digital products we may offer.
By using our website or purchasing our services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of our services immediately.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

Other Complementary Services & Digital Products – We reserve the right to offer and sell additional services or digital products that align with our primary offerings.
All services are subject to availability and may be modified at our discretion.

SECTION 2 - CLIENT RESPONSABILITIES

To ensure the best results, you agree to:

Provide accurate and complete business information required for services.
Grant us access to your website, ad accounts, or relevant platforms as needed.
Follow our recommendations for maximizing conversions and ad performance.
Comply with all advertising policies (including Facebook’s Ad Policies).
Failure to meet these obligations may impact service effectiveness, and we are not liable for resulting outcomes.

SECTION 3 - PAYMENTS & FEES

Payments are due in full before services begin unless otherwise agreed.
Monthly services (e.g., ad campaigns) require recurring payments until canceled.
Refunds may be issued under specific conditions outlined in our Refund Policy.
If a refund is requested, you must provide verifiable proof that the service did not meet outlined performance metrics.
Chargebacks or payment disputes without prior resolution attempts may result in account suspension and forfeiture of future services.

SECTION 4 - NO GUARANTEES ON RESULTS

While EddieAgency, LLC applies proven strategies for website optimization, sales pages, and Facebook™ ad campaigns, we do not guarantee:

A specific number of leads, sales, or conversions.
That your website or sales page will achieve a specific conversion rate.
That Facebook™ will approve or continue running your ads without policy restrictions.
That ad costs, click-through rates, or customer acquisition costs will stay within a specific range.
That your website will achieve a higher ranking on search engines.
Factors Beyond Our Control

Marketing performance depends on various external factors, including but not limited to:

Market competition, customer behavior, and industry trends.
Pricing strategies, product-market fit, and business operations.
Algorithm updates, ad auction fluctuations, and third-party platform policies.
Implementation of our recommendations and tracking accuracy.
Client Responsibility

To maximize success, clients are responsible for:

Providing accurate business and customer data.
Following recommendations for ad campaigns, website adjustments, and sales page optimizations.
Ensuring proper tracking setup (e.g., Facebook Pixel, Google Analytics) to measure performance correctly.
Because results depend on these factors, no refunds will be issued solely based on dissatisfaction with performance. Refund requests will be reviewed per our Refund Policy and require verifiable proof that the service did not meet outlined expectations.

SECTION 5 - INTELLECTUAL PROPERTY & MARKETING RIGHTS

By using our services, you grant EddieAgency, LLC a non-exclusive, royalty-free, worldwide license to use your:

Business name, logo, and branding assets for promotional purposes.
Sales page designs, ad creatives, and campaign results in our portfolio, case studies, or marketing materials.
Testimonials or feedback shared through email, messages, or direct communication.
We reserve the right to showcase our work for marketing, promotional, and educational purposes unless you explicitly request in writing that we do not. To opt out, send a request to support@eddieagency.co before service begins.

Ownership of Deliverables

Client-Owned Assets: Any original content, branding, or proprietary assets provided by the client remain the client’s intellectual property.
EddieAgency, LLC-Owned Assets: All custom strategies, optimization techniques, proprietary frameworks, and any work product created as part of the service remain the intellectual property of EddieAgency, LLC, unless otherwise agreed in writing.
License to Use Deliverables: Clients receive a non-exclusive, limited-use license for the work delivered but may not resell, redistribute, or claim authorship of proprietary materials created by EddieAgency, LLC.
Restrictions on Unauthorized Use

Clients may not:

Reverse-engineer, copy, resell, or modify any proprietary assets or strategies provided.
Claim EddieAgency, LLC’s work as their own for resale or redistribution.
Use deliverables in a way that violates our policies or any applicable laws.
Violations of this policy may result in legal action and termination of services without refund.

SECTION 6 - LIMITATION OF LIABILITY

EddieAgency, LLC is not liable for any:

Loss of revenue, sales, or profits resulting from the use of our services.
Suspension or rejection of ad campaigns by Facebook™, Google, or other platforms.
Technical failures, website downtime, or security breaches affecting performance.
Business decisions or changes made by the client that impact results.
Delays or disruptions caused by third-party platforms (e.g., Facebook™ ad policies, algorithm changes, or payment processor issues).
Our total liability is limited to the amount paid for services within the last 30 days. If a refund is granted, it will be processed according to our Refund Policy.

SECTION 7 - TERMINATION OF SERVICES

EddieAgency, LLC reserves the right to cancel or refuse service at our discretion, including but not limited to:

Violation of these Terms or applicable laws.
Failure to provide necessary access or information for service completion.
Non-payment, payment disputes, or chargebacks initiated without prior communication.
Any attempt to misuse, abuse, or exploit our services.
If you choose to terminate a service, you must provide written notice via email. Any refund requests will be handled in accordance with our Refund Policy.

EddieAgency, LLC is not responsible for any business disruptions resulting from service termination.

SECTION 8 - MODIFICATIONS & UPDATES

Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

Chargebacks initiated without prior resolution attempts will result in account suspension and forfeiture of future service eligibility.

SECTION 10 - GOVERNING LAW

These Terms of Service and any disputes related to them shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles.

Any legal action, claim, or dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Colorado.
You agree to waive any objections to jurisdiction or venue in these courts.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

SECTION 11 - CONFIDENTIALITY & MARKETING RIGHTS

Confidentiality

Both parties agree to keep confidential information private, including but not limited to:

Business strategies, proprietary methods, and optimization techniques.
Ad performance data, analytics, and marketing insights.
Any non-public information shared during the service period.
However, EddieAgency, LLC reserves the right to disclose results in case studies, testimonials, or marketing materials unless the client explicitly requests otherwise in writing.

Marketing Rights & Client Content Usage

By using our services, you grant EddieAgency, LLC a non-exclusive, royalty-free, worldwide license to use your:

Business name, logo, and branding in our portfolio and promotional content.
Sales page designs, ad creatives, and campaign results as examples of our work.
Testimonials or feedback shared through email, messages, or direct communication.
If you do not wish to be featured, you must submit a written request to support@eddieagency.co before service begins.

SECTION 12 - FACEBOOK™ AD CAMPAIGNS & THIRD-PARTY PLATFORM RESPONSIBILITIES

Ad Account Permissions & Usage

For Facebook™ advertising services, you acknowledge and agree that:

Ads may be run using your business ad account or our own ad account, at our discretion.
If we use your ad account, you must grant us appropriate access via Facebook™ Business Manager before campaign launch.
If we use our own ad account, you will be billed for ad spend in addition to service fees, unless otherwise agreed.
You are responsible for complying with Facebook™’s Advertising Policies and ensuring that your website or sales page meets compliance standards.
No Guarantees on Ad Performance

While we apply proven strategies, we do not guarantee:

A specific number of leads, sales, or conversions.
That Facebook™ will approve or continue running ads without policy restrictions.
That costs per click, impressions, or engagement rates will meet a specific target.
Third-Party Platforms Disclaimer

EddieAgency, LLC is not responsible for:

Ad account suspensions, policy violations, or bans imposed by Facebook™, Google, or any other platform.
Algorithm changes, ad cost fluctuations, or policy updates affecting ad performance.
Any loss of revenue or business disruptions caused by third-party platform decisions.
Clients understand that third-party platforms operate independently and EddieAgency, LLC has no control over their internal processes, rules, or enforcement actions.

SECTION 13 - INDEMNIFICATION

By using our services, you agree to indemnify, defend, and hold harmless EddieAgency, LLC, its owners, employees, agents, and affiliates from any claims, liabilities, damages, or expenses (including legal fees) arising from:

Your use or misuse of our services.
Any content, advertisements, or materials you provide for use in campaigns.
Violations of Facebook™’s Advertising Policies, third-party platform terms, or applicable laws.
Business decisions, pricing strategies, or operational changes that impact performance.
Any financial losses, missed opportunities, or revenue shortfalls resulting from our services.
You acknowledge that marketing results depend on multiple factors beyond our control, and EddieAgency, LLC shall not be held liable for outcomes that do not meet expectations.

If any legal claims arise due to your actions, you agree to cover our legal costs and defend us against such claims.

SECTION 14 - FORCE MAJEURE

EddieAgency, LLC is not liable for any delay, failure to perform, or service interruption due to circumstances beyond our reasonable control, including but not limited to:

Natural disasters (e.g., earthquakes, floods, fires, hurricanes).
Power outages, cyberattacks, server failures, or internet disruptions affecting service delivery.
Government actions, regulatory changes, or legal restrictions impacting advertising or online business operations.
Platform suspensions, algorithm updates, or policy changes by third-party providers (e.g., Facebook™, Google, Stripe).
Acts of war, terrorism, pandemics, labor strikes, or economic disruptions that impact normal business operations.
In the event of a force majeure occurrence, services will be resumed as soon as reasonably possible, but EddieAgency, LLC will not be held responsible for losses, delays, or disruptions caused by such events.

SECTION 15. DISPUTE RESOLUTION

Good-Faith Negotiation

Before taking any legal action, both parties agree to attempt good-faith negotiation to resolve disputes. Clients must first contact support@eddieagency.co with a written explanation of the issue and allow at least 10 business days for a resolution.

Binding Arbitration

If a dispute cannot be resolved through good-faith negotiation, both parties agree to binding arbitration instead of litigation. Arbitration will be conducted in Colorado under the rules of the American Arbitration Association (AAA). The arbitrator’s decision will be final and legally binding.

No Class Actions

You agree that any claims against EddieAgency, LLC must be brought on an individual basis and not as part of a class action, mass arbitration, or collective lawsuit.

Exceptions to Arbitration

We reserve the right to pursue legal action in court for:

Non-payment, chargeback fraud, or intellectual property violations.
Breach of confidentiality or misuse of proprietary information.
Jurisdiction

For matters that require court intervention, both parties agree to the exclusive jurisdiction of the courts in Colorado, United States.

SECTION 16. PAYMENT PROCESSING & STRIPE COMPLIANCE

Payment Authorization

EddieAgency, LLC uses Stripe, Inc. ("Stripe") as its third-party payment processor. By purchasing any of our services, you agree to:

Provide accurate billing and payment information.
Authorize EddieAgency, LLC to charge your payment method for agreed-upon service fees.
Comply with Stripe’s Terms of Service (Stripe Terms) and Acceptable Use Policy (Stripe Acceptable Use).
Billing & Recurring Payments

Some services require recurring payments (e.g., monthly Facebook™ ad campaigns).
You authorize automatic charges for these services unless canceled per our cancellation policy.
If a payment fails, services may be suspended or terminated until the balance is paid.
Chargebacks & Payment Disputes

You agree to resolve disputes directly with EddieAgency, LLC before initiating a chargeback.
Unauthorized chargebacks may result in service termination and permanent account suspension.
Fraudulent chargebacks will be disputed with Stripe using service agreements and proof of work completed.
Refund Processing via Stripe

Refunds, if applicable, will be processed through Stripe and issued to the original payment method.
Stripe’s refund processing time is typically 5-10 business days, depending on your bank.

Pricing for services may vary based on project scope. Final costs will be communicated before payment is collected.
Clients are responsible for canceling recurring services before the next billing cycle. Failure to cancel before renewal will result in charges for the next billing period.
By purchasing from EddieAgency, LLC, you agree to resolve any disputes directly with us before initiating a chargeback. Unauthorized chargebacks for valid services may result in permanent account suspension and legal action to recover funds.
Most services are delivered within 2-30 business days after the necessary client information is provided. Timelines may vary depending on project scope, and any delays will be communicated promptly.

All digital product sales are eligible for refunds under the same conditions as our services. If you believe a digital product did not perform as expected, you must provide verifiable proof that it did not meet the outlined performance criteria.
Refund requests must be submitted within 30 days of purchase and must include supporting data demonstrating the product’s failure to achieve the expected results.
All refund requests will be reviewed in accordance with our Refund Policy.

SECTION 17 - FINAL PROVISIONS & AGREEMENT ACCEPTANCE

Entire Agreement

These Terms of Service, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and EddieAgency, LLC regarding the use of our services.

No Waiver

Failure by EddieAgency, LLC to enforce any provision of these Terms shall not be considered a waiver of our rights.

Severability

If any part of these Terms is found to be unenforceable, the rest of the agreement shall remain in full effect.

Acceptance of Terms

By using our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must discontinue use of our services immediately.

By purchasing or using any services from EddieAgency, LLC, you confirm that you:

Understand that all services are provided as outlined, with no guarantees of specific financial results.
Agree to abide by our policies, including our Refund Policy and Privacy Policy.
Acknowledge that failure to comply with these Terms may result in service termination without refund.
